Terms of Service

1. Contracting parties, service, and acceptance

The platform at midan.ai is operated by Midan Technology Integration LLC (“Midan,” “we,” or “us”). These Terms are between that company and you.

Midan supports business workflows across five connected hubs: Build, Sell, Manage, Automate, and Grow. Availability may change. Features marked “planned” or “Coming soon,” and screens or demonstrations identified as illustrative, are not statements that those capabilities are currently live.

By using the platform, you agree to these Terms. If you use Midan on behalf of a company or other organization, you confirm that you are authorized to bind it to these Terms.

2. Your account

• You must be at least 18 years old to create an account.
• You are responsible for the accuracy of your information and the confidentiality of your login credentials.
• You are responsible for all activity under your account, including your team members’ activity.

3. Plans and pricing

• Subscription plan prices are shown in US dollars. Payment in Egyptian pounds (EGP) is available.
• All plans include the full feature set available in the product. Plans differ by usage limits and allowances, not by access to live modules.
• All listed prices include applicable taxes.
• Price lock: Changes to plan prices apply to new subscriptions only. Existing subscribers keep their price for at least 12 months from the date a change is announced.
• Pricing may vary by region. Final pricing is determined by the issuing country of your payment method or your MIDAN Pay payout destination; tax is determined by your declared billing details.
• You may cancel at any time. Cancellation takes effect at the end of your current billing cycle.

4. Free trial

• The trial lasts 14 days and requires no credit card.
• It includes access to the full feature set available in the product, subject to trial quotas and a fixed trial credit.
• One trial per phone number and email domain.
• We may end any trial we reasonably suspect is being misused.

5. Monthly quotas and wallet

• Monthly quotas included in your plan (AI credits, emails, and workflow executions) reset at the start of each billing cycle and do not roll over.
• The MIDAN Credit Wallet is a prepaid balance covering usage beyond your quotas.
• Prepaid wallet balance does not expire and remains available for as long as your account exists.
• The wallet is not replenished automatically. We charge your payment method for a wallet top-up only if you separately enable auto top-up, which is off by default.
• When your wallet runs out, consumable services pause and we ask you to top up — we do not continue service and record a debt.
• The minimum top-up is USD 10.
• Incomplete operations and rejected outputs are not charged.

6. WhatsApp and connected services

• WhatsApp messaging is provided through Meta’s WhatsApp Cloud API. You must obtain any required customer opt-in, honor opt-outs, use approved templates where required, and follow Meta/WhatsApp policies and applicable law. Meta may limit or suspend messaging.
• Applicable Meta messaging fees follow Meta’s published rate to send, plus 15%. Receiving messages is free.
• Midan may offer connections to Google Calendar, Google Ads, and Google Analytics. The data available depends on the feature and permissions displayed when you connect the Google account; Google’s terms and policies also apply. You can manage or revoke the connection through the relevant account controls.
• Payment routes may use Stripe or Stripe Connect, PayPal or PayPal Connect, or Paymob. The provider, available payment methods, fees, settlement, and payout steps depend on the route and the terms shown for that transaction; each provider’s own terms apply.
• When you request an available voice feature, voice input or related text may be processed by ElevenLabs to provide that feature. Other AI-assisted features may involve additional service providers as described in the Privacy Policy.

7. Fair use

Some services are presented as “no visible meter” or “unlimited,” including video streaming and message receiving. These services are subject to a fair use policy designed to protect the platform from abnormal use, not to restrict normal use.

If usage significantly exceeds what is typical for an account of your size and plan, we may contact you to suggest a better-fitting plan, or gradually reduce streaming quality rather than stopping it. We never delete content because of usage limits.

8. Launch offer (Lifetime)

• A limited offer for creators only. It does not include agency plans.
• Grants permanent access to the platform for the lifetime of the product, with a guaranteed minimum of 5 years from purchase.
• Includes all modules and all future updates.
• Does not include unlimited consumption of variable-cost services. AI, messaging, storage, and video streaming are billed by usage after your activation credit is used.
• Activation credit covers approximately 4 months of full use and is valid for 12 months from purchase. Consumption prices are tied to our providers’ costs and may be updated accordingly with at least 30 days’ notice. The offer is limited to an announced number of seats and closes when they are filled.

9. After your subscription ends — the Vault

• We do not close your account or delete your data when your subscription or trial ends.
• Your account moves automatically to the Vault — a free, read-only mode.
• You can access and fully export your data at any time.
• All content stays fully available for 60 days; after that, 5 GB stays active and the rest moves to a preserved archive, restored when you resubscribe.
• If there is no login for 12 months, we send a notice, then freeze the account with a restoration link valid for 3 years.

10. Your content and ownership

• Everything you create or upload on MIDAN belongs to you — your products, content, and customer data.
• You grant us a limited license to host, display, and process your content only as needed to provide the service.
• We do not use your customers’ data to train AI models without your explicit consent.

11. AI outputs

• When an AI-assisted feature is available, its outputs — including draft text and suggested replies or prices — are assistance, not a guarantee, and may be incomplete or inaccurate. Features marked “planned” or “Coming soon,” or shown with illustrative data, are not currently live.
• You are responsible for reviewing any output before publishing or sending it. MIDAN never publishes or sends content externally without your approval.
• AI outputs are not legal, financial, medical, or professional advice.

12. MIDAN Pay

• MIDAN Pay is a payment-intermediary service only for approved sales. The creator remains the seller and is responsible for the product, offer, delivery, taxes, customer relationship, and legal compliance. Other payment routes may have different providers, roles, and terms.
• To activate MIDAN Pay, you must submit accurate identity, business, payout, and product information and complete any verification requested by MIDAN.
• Every product sold through MIDAN Pay is reviewed by MIDAN before approval and publication. A product may be rejected, held, or removed if it does not meet applicable law, compliance requirements, or MIDAN policies.
• For transactions specifically processed through MIDAN Pay, proceeds remain in settlement for 30 days. The disclosed MIDAN Pay commission and applicable fees are then deducted; the eligible net balance may become available for withdrawal, subject to provider processing, verification, refunds, disputes, reserves, and applicable law.
• Any MIDAN Pay commission or international card fee will be disclosed for the applicable route before activation or payment. Fees, settlement timing, refunds, and disputes for other payment routes are governed by the terms shown for that route and the relevant provider’s terms.
• Identity verification (KYC) is required before your first payout.
• Disputes and refunds related to your sales are deducted from your wallet balance.
• Processing fees are non-refundable where this is stated for the applicable route. Payment providers may impose additional requirements and terms.

13. Prohibited use

You may not use MIDAN for: fraud · bulk spam · unlawful content · infringing others’ intellectual property · selling prohibited goods or services · attempting to breach or harm the platform · reselling the platform without a written agreement.

14. Suspension and termination

We may suspend any account that violates these Terms. Except in cases of fraud or immediate risk, we give prior notice and an opportunity to export your data.

15. Limitation of liability

The platform is provided “as is.” To the extent permitted by law, our total liability to you will not exceed the amount you paid us in the 12 months before the claim.

16. Governing law

These Terms are governed by the laws of the Arab Republic of Egypt, and the courts of Cairo have jurisdiction over any dispute, without prejudice to any protection granted to you by the consumer protection law of your country of residence.

17. Changes

We may update these Terms. We give at least 30 days’ notice before any material change.
